Terms of Use & User Service Agreement

1. Preamble & Contractual Binding

OuiPay is a product operated by OuiGate Technologies Ltd. References to “OuiPay”, “we”, “us”, or “our” in these Terms mean OuiGate Technologies Ltd.

This User Service Agreement (“Agreement” or “Terms”) constitutes a legally binding contract between you (“User”, “Customer”, or “you”) and OuiGate Technologies Ltd.

By creating a OuiPay account, accessing the web platform or mobile application, or executing any transaction, you explicitly acknowledge that you have read, understood, and agreed to be bound by all terms, policies, and operational rules contained herein. If you do not agree to these Terms, you must immediately cease accessing the platform and terminate all account activity.

2. Defined Terms

For the purposes of this Agreement, the following terms shall have the meanings specified below:

  • Account: The registered technology profile assigned to a User upon successful completion of identity verification.
  • Available Balance: The settled funds maintained with licensed partner institutions eligible for immediate transfer, bill settlement, or currency exchange.
  • Business Day: Any day other than a Saturday, Sunday, or public holiday recognized by regulatory authorities in the primary operating jurisdiction.
  • KYC (Know Your Customer): Identity verification procedures required by Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF) statutory regulations.
  • Licensed Provider: Third-party licensed banking institutions, payment networks, mobile operators, and financial partners that hold customer funds and process payments.
  • Services: Digital technology platform services, mobile airtime and data procurement facilitation, utility bill settlement routing, and cross-border currency exchange software offered by OuiPay.
  • Transaction: Any instruction submitted by a User through the OuiPay technology platform to transfer funds, exchange currency, or purchase utility products.

3. Account Eligibility & Verification (KYC)

To register for and maintain an Account, you must be at least 18 years of age and possess full legal capacity to enter into binding financial contracts. Services are restricted to supported operating markets across authorized corridors.

In compliance with statutory regulatory mandates, OuiPay enforces tiered identity verification requirements:

  • Tier 1 Verification: Verified phone number, full legal name, and date of birth. Restricted to basic transaction limits.
  • Tier 2 Verification: Government-issued identity verification (such as national identity numbers or official identity cards) and identity validation.
  • Tier 3 Verification: Proof of residential address (utility bill or bank statement issued within 90 days) and enhanced verification for elevated transaction volumes.

Identity verification is performed by licensed identity verification providers. OuiPay does not collect or store your identity numbers or identity documents; we receive only the verification result.

You represent and warrant that all information provided during registration and verification is truthful, accurate, and current. Submitting fraudulent identity documents or impersonating another individual will result in immediate Account termination and regulatory law enforcement reporting.

4. Technology Platform Status & Funds Custody Disclosure

OuiGate Technologies Ltd. is a financial technology company, not a bank, depository institution, or licensed financial institution. OuiPay provides software, mobile applications, user interfaces, and payment facilitation technology.

OuiPay does not hold, take custody of, or manage customer funds under any circumstances. All customer funds, deposits, account balances, and monetary values are strictly held, maintained, and safeguarded by licensed partner banking institutions and regulated payment providers licensed by the relevant financial regulatory authorities in our operating countries.

5. User Responsibilities & Acceptable Use Rules

You are solely responsible for safeguarding your security credentials, including account passwords, multi-factor authentication (MFA) codes, transaction PINs, and biometric login parameters. Any transaction executed using your authorized credentials or linked payment method shall be deemed initiated and approved by you.

You agree not to use the platform for any of the following prohibited activities:

  • Money laundering, terrorist financing, or unlawful financial activities.
  • Purchase or sale of illegal goods, counterfeit items, or unauthorized products.
  • Fraudulent chargebacks, card testing, or exploiting technical platform errors.
  • Unlicensed gambling, betting operations, or pyramid financial schemes.
  • Unauthorized commercial resale of utility products or platform services.

6. Intellectual Property & Limited License

All rights, titles, and interests in and to the OuiPay software, mobile applications, visual interfaces, logos, service marks, and proprietary technologies are the exclusive property of OuiGate Technologies Ltd.

Subject to compliance with these Terms, OuiPay grants you a personal, revocable, non-exclusive, non-transferable, limited license to access and use the platform solely for personal or authorized business payment operations.

7. Disclaimer of Warranties

The platform and all associated services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory.

OuiPay disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that technology operations will be uninterrupted or error-free during third-party network outages.

8. Limitation of Liability

To the maximum extent permitted by applicable statutory law, in no event shall OuiPay, its directors, officers, employees, partners, or service providers be held liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, revenue, data, or business opportunity) arising out of or related to your use of the platform.

The aggregate financial liability of OuiPay for any direct claims arising under this Agreement shall be limited to the total service fees paid by the User to OuiPay in the 12 months preceding the event giving rise to the claim, or the local currency equivalent of $100 USD, whichever is lower.

9. Indemnification

You agree to defend, indemnify, and hold harmless OuiGate Technologies Ltd., its parent entity, affiliates, officers, directors, and employees from and against any third-party claims, liabilities, losses, expenses, or legal fees arising out of your breach of these Terms, your violation of statutory laws, or your misuse of the platform.

10. Account Freeze, Suspension, & Closure

OuiPay reserves the right to suspend, restrict, or freeze any Account, payment method authorization, or transaction routing without prior notice under the following circumstances:

  • Reasonable suspicion of fraudulent, illegal, or unauthorized activity.
  • Direct directives or regulatory notices issued by law enforcement authorities or licensed financial partners.
  • Failure to supply requested KYC verification documentation.
  • Breach of any provision of this User Service Agreement.

11. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without giving effect to conflict-of-law principles.

In the event of a dispute arising out of or in connection with this Agreement, the parties shall first attempt in good faith to resolve the dispute through informal negotiation within 30 Business Days. If unresolved, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Mediation Act of Nigeria. Venue for arbitration shall be Lagos, Nigeria.

12. Severability, Amendments, & Official Contacts

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed, and the remaining provisions shall remain in full force and effect.

OuiPay reserves the right to modify these Terms at any time. Notice of material changes will be communicated via in-app notifications or published on the platform with an updated effective date. Continued use of the platform after updates constitutes binding acceptance.

Privacy Policy & Data Protection Notice

1. Data Controller & Technology Status

OuiPay is a product operated by OuiGate Technologies Ltd. References to “OuiPay”, “we”, “us”, or “our” in this Privacy Policy mean OuiGate Technologies Ltd.

This Privacy Policy details how OuiGate Technologies Ltd., acting as Data Controller, collects, processes, stores, protects, and discloses personal data obtained from users of our digital payment technology platform.

OuiGate Technologies Ltd. is a technology provider, not a bank or depository institution. Customer funds and payment values are strictly held, maintained, and safeguarded by licensed partner financial institutions in accordance with statutory regulations.

We are committed to maintaining the security and privacy of your personal and financial information in strict compliance with the Nigeria Data Protection Act (NDPA / NDPR), General Data Protection Regulation (GDPR), and statutory data protection regulations across our operating jurisdictions.

2. Categories of Personal Data Collected

We collect personal information necessary to deliver technology services, verify identity, prevent financial fraud, and fulfill statutory obligations. Data collected includes:

  • Identity & Verification Information: Legal full name, residential address, telephone number, email address, and date of birth. Identity numbers, identity documents, and biometric checks are captured and held by licensed identity verification providers; OuiPay does not collect or store them and receives only the verification result.
  • Financial & Payment Information: Linked payment methods, debit/credit card metadata, bank account details, mobile money account details, transaction history, utility account numbers (electricity meter numbers, smartcard IDs), transaction timestamps, currency exchange records, and payment receipts.
  • Technical & Device Information: IP address, mobile device model, operating system version, unique device identifier, network operator details, application diagnostics, and security session data.
  • Customer Support Communications: Records of customer support interactions, dispute inquiries, in-app messaging logs, and feedback submissions.

4. Third-Party Data Sharing & Zero-Sale Guarantee

OuiPay does not sell, rent, trade, or monetize your personal data to third parties under any circumstances. We disclose personal information strictly to authorized processing partners and licensed providers under binding data protection agreements:

  • Licensed Partner Banks & Payment Networks: Financial institutions and payment providers licensed by the relevant financial regulatory authorities in our operating countries responsible for holding customer funds and settling transactions.
  • Telecommunication & Utility Providers: Mobile network operators and electricity distribution companies required to credit airtime, data bundles, or electricity units.
  • Identity Verification Partners: Authorized identity verification service providers operating under strict security protocols to validate government identity records.
  • Cloud Infrastructure & Security Providers: Certified cloud server infrastructure and threat mitigation services providing encrypted data storage.
  • Statutory Authorities: Regulatory bodies, law enforcement agencies, or tax authorities when legally compelled by valid court subpoena or regulatory directive.

5. Cross-Border Data Transfers

To facilitate cross-border payment technology services, your data may be processed across secure regional infrastructure.

All international data transfers adhere to statutory cross-border transfer mechanisms, including Standard Contractual Clauses (SCCs) and encryption controls, ensuring that your data receives an equivalent standard of protection regardless of processing location.

6. Security Controls & Data Retention

OuiPay employs bank-grade security controls to protect personal information against unauthorized access, alteration, disclosure, or destruction:

  • 256-bit encryption for all data transmitted over public networks.
  • Bank-grade data encryption for personal and financial records at rest.
  • Strict access controls and internal security authentication protocols.

Personal data is retained for the duration of your active Account status plus a mandatory statutory retention period of 5 to 7 years following Account closure, as required by financial recordkeeping laws. Upon expiration of the statutory retention window, data is permanently deleted or anonymized.

7. User Data Rights

Under applicable data protection statutory laws (including NDPR and GDPR), you possess the following rights regarding your personal data:

  • Right of Access: Request a copy of the personal data held by OuiPay about you.
  • Right to Rectification: Request correction of inaccurate or incomplete personal records.
  • Right to Erasure (“Right to be Forgotten”): Request deletion of your personal data, subject to mandatory statutory financial retention rules.
  • Right to Restrict Processing: Request temporary restriction of data processing during dispute investigations.
  • Right to Data Portability: Receive your personal transaction data in a structured, machine-readable format.

To exercise any of these rights, submit a written request to privacy@ouipay.africa. We will respond to verified requests within 30 days.

8. Cookies & Performance Telemetry Policy

Cookies on OuiPay are strictly used for essential authentication, application performance, and session security. We use cookies exclusively to maintain your secure login session, optimize application load performance, and protect your account from security threats.

OuiPay does not use advertising, third-party tracking, or behavior profiling cookies.

9. Updates & Regulatory Contact

We reserve the right to update this Privacy Policy periodically to reflect statutory regulatory changes or operational enhancements. Updates will be announced via platform notifications with an updated effective date.

Transaction Terms & Currency Exchange Contract

1. Scope & Binding Application

OuiPay is a product operated by OuiGate Technologies Ltd. References to “OuiPay”, “we”, “us”, or “our” in these Transaction Terms mean OuiGate Technologies Ltd.

This Transaction Terms and Currency Exchange Contract (“Transaction Contract”) governs all financial operations executed on the OuiPay platform, including account funding, direct card or bank payments, mobile money transfers, peer-to-peer transfers, airtime and data top-ups, utility bill settlements, and cross-border currency exchanges across supported operating corridors.

This Contract supplements the OuiPay Master User Service Agreement. By initiating any transaction instruction on OuiPay, you agree to the financial processing rules, settlement terms, and rate guarantees detailed herein.

2. Order Authorization & Transaction Finality

When you initiate a transaction on OuiPay and authorize processing using your transaction PIN, password, or biometric credential (TouchID/FaceID), your authorization constitutes an explicit, irrevocable instruction for OuiPay to process the payment from your chosen payment method (linked bank account, debit card, mobile money account) or Available Balance.

Once a transaction instruction has been submitted and confirmed by the system, it enters immediate processing. Confirmed transaction orders are final and cannot be canceled, recalled, or reversed by the User, except under the automatic refund mechanisms specified in Section 6.

3. Currency Exchange Rate Quote Locking

Cross-border currency exchanges across supported operating corridors are executed using real-time market exchange rates.

OuiPay provides a guaranteed rate quote lock for currency exchange orders:

  • Quote Generation: Upon requesting an exchange quote, OuiPay displays the precise exchange rate, gross conversion amount, service fee, and net payout amount in the target ISO currency.
  • Rate Lock Window: The presented exchange rate and fee structure are locked for a guaranteed duration (such as 15 minutes) from the timestamp of quote generation.
  • Guaranteed Settlement: If confirmed within the rate lock window, the locked exchange rate is binding and fully guaranteed, protecting the User from subsequent market volatility or rate fluctuations during processing.
  • Quote Expiration: If the rate lock window expires prior to User PIN authorization, the quote becomes void, and the User must request a refreshed exchange rate quote.

4. Upfront Fee Disclosure & Pricing Integrity

OuiPay operates under a strict 100% Upfront Pricing Disclosure Policy. Prior to authorizing any transaction, all applicable service charges, biller processing fees, and currency conversion fees are itemized line-by-line in the designated ISO currency on the pre-confirmation screen.

OuiPay guarantees that no hidden charges, unexpected post-settlement deductions, or undisclosed commissions will be assessed against your payment method or account following transaction confirmation.

5. Execution Timelines & Settlement Standards

OuiPay processes transaction instructions according to high-performance operational standards:

  • Airtime & Mobile Data Top-ups: Instant processing upon network operator confirmation.
  • Utility Bill Settlements: Instant biller crediting upon token generation or account settlement validation.
  • Currency Exchange Transfers: Processed 24 hours a day, 7 days a week, with rapid average settlement times, subject to partner network availability.

6. Automatic Refund Guarantee for Failed Processing

In the event that a transaction fails to complete due to third-party telecommunication operator downtime, utility provider gateway timeouts, or partner processing declines, OuiPay enforces an automated refund policy:

  • Automated Order Reversal: If the target provider declines processing or fails to confirm delivery within the timeout threshold, the order status is automatically marked as failed.
  • 100% Payment Refund: 100% of the debited transaction principal amount and any associated service fees are instantly refunded to your designated payment account or Available Balance in the source ISO currency.
  • Notification: An automated in-app notification and email receipt confirming the order cancellation and refund credit will be dispatched immediately.

7. Accurate Transaction Records & Auditing

All transaction history, payment debits, credits, and currency conversions on OuiPay are maintained in secure, immutable transaction logs to ensure accurate accounting and complete financial transparency.

Historical transaction records provide an auditable history of your account activity, accessible anytime through your account statement dashboard.

8. User Input Responsibility & Misdirected Payments

You are solely responsible for verifying the accuracy of all transaction parameters (including recipient phone numbers, beneficiary bank account numbers, bank routing details, and electricity meter numbers) prior to authorizing processing.

OuiPay processes payment instructions strictly based on the account identifiers supplied by the User. OuiPay accepts no financial liability for funds delivered to an unintended recipient or utility meter as a result of incorrect parameters entered by the User.

9. Fraudulent Chargebacks & Dispute Protocol

If you observe an unauthorized or inaccurate transaction on your Account, you must immediately report the issue to Support at support@ouipay.africa within 14 Business Days of the transaction timestamp, referencing the unique Transaction Reference ID.

Filing false, fraudulent, or bad-faith chargeback claims for validly authorized transactions constitutes a violation of law and this Contract. Filing fraudulent claims will result in immediate Account termination, asset freeze, and law enforcement referral.

Fee Schedule & Pricing Transparency

1. Upfront Pricing Philosophy

OuiPay is a product operated by OuiGate Technologies Ltd. References to “OuiPay”, “we”, “us”, or “our” in this Fee Schedule mean OuiGate Technologies Ltd.

OuiPay operates under a strict 100% Upfront Pricing Guarantee. We believe financial products should be completely transparent, predictable, and fair across all operating markets.

Every applicable service charge, provider processing fee, and currency conversion rate is calculated and displayed line-by-line in the designated ISO currency on your confirmation screen prior to PIN authorization. You will never incur hidden fees, unexpected commissions, or post-transaction deductions.

2. Airtime & Mobile Data Top-Ups (0% Fee Guarantee)

OuiPay charges 0% service fees on all mobile airtime and data bundle purchases across supported networks in active operating markets.

When purchasing an airtime refill or data bundle, your chosen payment method or wallet balance is debited exactly the face value of the product in the local currency. Zero service surcharge is added by OuiPay.

3. Multi-Currency Exchange Rates & Rate Quote Locking

Cross-border currency conversions across supported operating corridors are calculated using transparent mid-market exchange rates plus a minimal service spread:

  • Exchange Service Spread: 1.0% to 1.5% depending on transaction volume band and liquidity corridor.
  • Rate Quote Lock Guarantee: Guaranteed exchange rate locked for a fixed duration (such as 15 minutes) upon quote request, protecting your transaction against rate fluctuations during processing.

The exact conversion rate, gross currency amount, fee spread, and net beneficiary payout amount in the target ISO currency are displayed in real-time before you confirm processing.

4. Utility & Bill Settlements

Bill payments (such as electricity tokens, internet bundles, and TV subscriptions) incur nominal processing charges to cover biller network fees.

All utility processing fees are explicitly itemized in the local currency on the confirmation screen prior to payment authorization.

5. Wallet Maintenance & Account Inactivity

Holding funds, linking payment methods, or maintaining an active account on OuiPay is completely free of charge across all supported accounts:

  • Monthly Account Maintenance: Zero recurring fee.
  • Inactivity & Dormancy Penalties: Zero penalty fee.
  • Rate Viewing & Quote Generation: Zero fee.

6. Payment Methods & Funding Charges

Fees for payment methods depend on the selected payment channel:

  • Direct Bank Transfer Payments: 0% OuiPay service fee (bank transfer processing charges may apply if assessed by your originating bank).
  • Debit Card / Mobile Money Payments: Standard processing fee assessed by payment card networks and mobile money providers, explicitly itemized prior to payment confirmation.

Our security framework adheres to international security standards and industry best practices for digital financial platforms.

2. Encryption in Transit & At Rest

OuiPay enforces end-to-end cryptographic protection for all customer data passing through our system:

  • Data in Transit: All network communication between OuiPay web and mobile applications and server infrastructure is encrypted using bank-grade 256-bit Transport Layer Security (TLS) protocol.
  • Data at Rest: Sensitive identity information, customer credentials, and transaction records are encrypted at rest using industry-standard 256-bit encryption keys.

3. Multi-Factor Authentication & Biometric Authorization

We enforce stringent identity verification controls to ensure authorized account access:

  • Multi-Factor Authentication (MFA): Two-factor authentication via verification codes during login sessions from unverified devices.
  • Biometric Payment Authorization: Financial transactions, payment debits, and currency exchange orders require explicit biometric authorization (TouchID or FaceID) or encrypted transaction PIN verification on mobile devices.
  • Session Protection: Automatic session termination after periods of inactivity to prevent unauthorized access.

4. Regulatory Compliance & Safeguarded Funds

OuiPay operates in strict technical partnership with commercial banks, payment networks, and settlement institutions licensed by the relevant financial regulatory authorities in our operating countries:

  • Safeguarded Accounts: Customer funds are held in safeguarded partner bank accounts with regulated financial institutions, completely separate from OuiPay operational accounts.
  • Strict Internal Controls: Access to customer records is restricted by strict identity authentication protocols.

5. Continuous Monitoring & Fraud Prevention

Our security systems continuously monitor platform operations to detect and neutralize potential security risks:

  • Real-Time Fraud Detection: Automated security engines analyze transaction patterns to detect and flag suspicious activity in real time.
  • Vulnerability Auditing: Regular security assessments and dependency auditing to ensure software integrity prior to deployment.
  • Independent Security Reviews: Periodic security evaluations and testing conducted by independent cybersecurity specialists.

6. High Availability & Platform Security
